Internet Access, domain housing and infrastructure Service Definitions:

Red Centre when used in this document shall refer to RedCentre.com a trading name of Quintessa Holdings Pty Ltd A.C.N. 083 652 902.

Red Centre web site means the web site located at the Internet address: http://www.redcentre.com.

Service means the Internet services provided by Red Centre including Internet Access, Domain housing and infrastructure provisioning.

User is the person or entity using the service.

This Agreement constitutes the full and entire understanding between Red Centre and the User with regard to supply of non-contracted services.The laws in force in the State of Victoria, Australia shall govern this Agreement. Red Centre and the User shall submit to the exclusive jurisdiction of the Courts of Victoria.

Red Centre will provide the User with Service. The Service shall be generally available seven days of the week, 24 hours per day. Red Centre will from time to time need to shut down the Service or part of the Service for maintenance. The Service may also be unavailable due to equipment breakdown, either within the Red Centre system and / or systems managed by external providers and carriers. Where possible, Red Centre will advise Users of system shutdowns in advance on the Red Centre home page.Red Centre will provide the User with a unique login name and password and other information required for the User to access the service.

The User agrees not to hold Red Centre liable in respect to any loss or damage in business or personal matters as a result of an interruption to or the quality of the Service including the accuracy, suitability or unsuitability of information obtained from the Internet.

The charges for the Service will be detailed either on the Red Centre web site or in documentation provided to the User by Red Centre. Red Centre retains the right to alter charges as necessary. Red Centre will provide the User with one months written notice, by letter, facsimile or electronic mail. Electronic mail notifications will be addressed to the User’s Red Centre email account.The User agrees to pay Red Centre the charges for using the Service. Paymentwill be by Credit Card or Cheque.Each dishonoured cheque or credit card payment will incur a dishonour fee of $20.00, which will be applied to the User’s account.

The User’s account will be suspended if payments are in arrears.

The User is responsible for all equipment and software required at the User’s premises including provision of a telephone line to enable access to the Red Centre Service.

The User is responsible for the selection and use of security features, non-disclosure of User’s login information and back up of all required data. Disclosure or loss of User’s login information that incurs use, abuse or misuse of the Service is the User’s responsibility and should be reported to Red Centre as soon as possible.

The User shall not use the Service in a manner that is considered by Red Centre to be to the detriment of Red Centre users or Internet users in general. Red Centre shall be the sole judge of acceptable behaviour when using the Service. The User agrees to abide by the conventions of newsgroups, mail lists and other Internet Services and in general act as a good Internet citizen.

The Service shall not be used for any illegal or fraudulent activities including activities prohibited under Australian Government acts and regulations. The User agrees not to resell the Service.

Certain Internet content may contain material that the User finds inappropriate, offensive, inflammatory or adult in nature. Red Centre does not endorse such materials and disclaims any liability for their content.

Red Centre does not and cannot monitor or control content and information available on the Internet. Red Centre shall not be held responsible in any way for content or information accessed through the service. If requested, Red Centre will provide advice to the User regarding content and filtering software that the User may install on the User’s computer. Red Centre will not warrant that such software will successfully filter offensive material.

This agreement shall remain in place until it is terminated by Red Centre or the User by providing one month’s written notice.Red Centre reserves the right to terminate the Service without notice if the Usermisuses, abuses or overuses the Service.

All notices to be served on either party by the other party shall be in writing and be sent by hand delivery, post, facsimile or electronic mail. Electronic mail notifications will be addressed to Red Centre accounts.
